1. Purpose
These Terms and Conditions govern the use of the website mxrpost.com (the "Site") owned by Mxrpost Crowdlending, S.A.P.I. de C.V. By accessing the Site, you fully accept these terms.
2. Description of the service
Mxrpost is a technology platform that facilitates the connection between investors and borrowers with real estate collateral in Mexico. Mxrpost is not a multiple banking institution, brokerage firm, nor financial entity regulated under Mexico's Fintech Law. Funds are administered through irrevocable guarantee and administration trusts held by banking institutions authorized by the CNBV.
3. Registration and eligibility
To invest through the platform you must: (a) be an adult individual with legal capacity or a corporate entity duly incorporated under Mexican laws; (b) hold a current RFC and a Mexican CLABE bank account; (c) complete the KYC identification process required by the LFPIORPI; (d) declare the lawful source of funds.
4. Investment risks
Real estate crowdlending investments involve risks including: (i) credit or default risk of the borrower; (ii) collateral execution risk; (iii) illiquidity risk, as no secondary market is available during the term of the investment; (iv) macroeconomic risks that may affect the value of the properties. Target returns are projections based on current market conditions and do not guarantee future returns.
5. Fees
Mxrpost charges the borrower an origination fee between 2% and 4% of the loan amount. Investors are not charged any opening or administration fee; income tax is withheld pursuant to Article 54 of the Mexican Income Tax Law.
6. Intellectual property
All content on the Site (texts, images, trademarks, source code) is the property of Mxrpost or its licensors. Reproduction in whole or in part is prohibited without express written authorization.
7. Limitation of liability
In no event will Mxrpost be liable for indirect, consequential damages, loss of profits or loss of data arising from the use of the Site or from investment decisions made by the user. Mxrpost's maximum aggregate liability to the user is limited to the amounts actually paid in fees during the 12 months prior to the event giving rise to the claim.
8. Amendments
Mxrpost may amend these Terms and Conditions at any time. Changes will become effective upon publication on the Site.
9. Governing law and jurisdiction
These Terms are governed by the federal laws of the United Mexican States. For any dispute the parties expressly submit to the Federal Courts residing in Mexico City, waiving any other jurisdiction that may correspond to them.
